Terms and Conditions of Sale

B2B sales — printed products, non-printed products, and related services.

Article 1 — Purpose and Scope

These Terms and Conditions of Sale (the "Terms") define the rights and obligations of 2M Numérique (SAS (French simplified joint-stock company) GOLDEN PRINT) and its professional (B2B) customers regarding the sale of printed and non-printed products and related services.

Placing an order implies full acceptance of these Terms. Online, the customer must tick "I accept the Terms and Conditions" before checkout. For offline orders, a signed copy must be returned before work begins. These Terms do not apply to private individuals (B2C), unless otherwise stated, and supplement the professional customs of the printing industry.

Article 3 — Orders

3.1. Order Process

Online, the customer creates an account using their professional details. Files must comply with the technical specifications. The order becomes final and binding once the cart is validated, the Terms are accepted, and payment is made. Offline, a signed quote and purchase order are required; the customer must return the signed Terms together with the purchase order.

3.2. Confirmation and Changes

Any confirmed order (payment or agreement) is final and binding. No changes are possible after confirmation without the written agreement of 2M Numérique, and may involve additional costs and revised lead times.

3.3. Order Refusal

2M Numérique may refuse an order if the files do not comply with specifications, if the content is unlawful (defamation, counterfeiting, copyright infringement), or in case of doubt about the customer's solvency.

Article 4 — Pricing and Price Revisions

4.1. Displayed Prices

Prices are shown exclusive of tax (HT) for customers subject to VAT, or inclusive of all taxes (TTC) for those not subject to VAT. They are quoted ex-works, excluding delivery charges.

4.2. Price Revisions

Prices may be revised in the event of changes in raw material costs or increases in transport charges or taxes. Quotes are valid for 30 days.

Article 5 — Payment Terms

5.1. Accepted Payment Methods

Payment in full: credit card, bank transfer (upon receipt of funds), or SEPA direct debit. Payment at 30 days or end of month: subject to credit insurance approval, by SEPA direct debit only.

5.2. Late Payment

Late payment interest is charged at the statutory rate in force (Article L.441-10 of the French Commercial Code), plus a fixed €40 collection fee. After 10 calendar days of late payment, invoices are forwarded to a debt collection agency; all collection costs are borne by the customer.

5.3. Retention of Title

Products remain the property of 2M Numérique until paid in full. In the event of non-payment, 2M Numérique may demand the return of the products (return costs to be borne by the customer).

Article 6 — Delivery

6.1. Delivery Methods

Standard parcels (under 30 kg): DPD France, 24-48 business hours. Bulky parcels: GEODIS, 48-72 hours. Express delivery: DHL or FedEx Express, 24 hours (on quote). Lead times are indicative and not guaranteed; delays do not entitle the customer to compensation.

6.2. Receipt and Claims

The customer must inspect the condition of parcels in the presence of the carrier. Any damage must be clearly noted on the delivery note, with written confirmation sent to 2M Numérique within 3 business days. No claim will be accepted without clear, documented objections; goods travel at the customer's own risk if objections are insufficiently noted.

6.3. Delivery Address

The customer is responsible for providing a valid delivery address. An additional fee of €15 (incl. tax) per parcel will be charged if an error requires reshipment.

Article 7 — Printing Tolerances and Liability

7.1. Technical Constraints

Gang-run printing (grouping several files on a single sheet) results in acceptable color variations. 2M Numérique does not guarantee 100% color accuracy; variations between print runs are normal, and Pantone colors are approximate (±10% tolerance).

7.2. Customer Responsibility

The customer warrants that files comply with specifications, are free of third-party rights, and meet the technical requirements. 2M Numérique accepts no liability for defects arising from non-compliant files; the paid file-checking service is recommended.

7.3. Accepted Tolerances

Size: ±7% variation. Paper weight: ±8% tolerance. Cutting offset: up to 2 mm.

Article 8 — Specific Services

8.1. Vehicle Wrap and Decal Installation

The vehicle must be clean, dry, and in good condition; installation cannot be carried out if the temperature is below 10°C or above 30°C. 2M Numérique performs the installation according to best practices but does not guarantee the adhesion of the decal if these prerequisites are not met. The decal is guaranteed for 1 year against manufacturing defects, excluding damage caused by poor maintenance, impacts, or extreme weather conditions.

8.2. Signage and Panel Installation

The customer must provide a suitable mounting surface, the necessary access, and technical information. 2M Numérique does not carry out ground or structural surveys and accepts no liability for falls or damage resulting from a faulty mounting surface. Warranty: 1 year on workmanship, excluding impacts, vandalism, poor maintenance, oxidation, or natural fading.

8.3. Custom Services

A quote is required. The customer must approve the plans or mockups before production; no changes will be accepted after approval. 2M Numérique does not guarantee the result if the customer imposes unrealistic technical constraints.

Article 9 — Claims and Warranties

Any claim must be made in writing within 48 hours of receipt, supported by evidence; after this period, no claim will be accepted. Products that have been altered, cut, or used are excluded, as are defects arising from non-compliant files. Warranty against latent defects: 1 year from delivery. The liability of 2M Numérique is limited to the amount of the order, excluding indirect damages.

Article 10 — Cancellation and Withdrawal

Cancellation by the customer: €4.90 (incl. tax) administrative fee before production begins, or 100% of the order amount if production has started. Refunds are issued as store credit (valid for 12 months). The right of withdrawal does not apply to professional customers or to personalized products.

Article 11 — File Technical Specifications

Accepted formats: PDF, JPEG, TIFF (minimum 300 DPI resolution) for images; vector PDF, AI, EPS for vector files. Prohibited formats: PSD, INDD, PUB, DOCX. Requirements: minimum 3 mm safety margins, CMYK colors (no RGB), vectorized or embedded fonts, 5 mm bleed for die-cuts.

Article 12 — Intellectual Property

Original creations remain the property of 2M Numérique until paid in full. The customer may use the finished products in accordance with the order but may not reproduce or modify the source files without written consent.

Article 13 — Force Majeure

2M Numérique is released from all liability in the event of strikes, fires, floods, raw material shortages, carrier delays, or pandemics. Effect: lead times are suspended, without compensation.

Article 14 — Personal Data (GDPR)

Purpose: order management, invoicing, and customer relations. Retention period: 5 years. The customer has the right to access, rectify, erase, and object. Data is never shared with third parties without consent. See our privacy policy.

Article 15 — Disputes and Governing Law

An attempt at amicable resolution is mandatory. Failing that, the Commercial Court of Auch (32) shall have sole jurisdiction. French law applies.
