Reseller Program Terms

The rules governing the reseller / white-label partnership between GOLDEN PRINT (“2M Numérique”) and the professional reseller (“the Reseller”).

1. Purpose

These terms govern the provision by 2M Numérique of printing and marking services intended to be resold by the Reseller to its own customers, where applicable under white label. They supplement the general terms of sale of 2M Numérique.

2. Opening a reseller account

Access to the program is reserved for professionals (agencies, printers, graphic designers, freelancers, web agencies…). It is subject to approval of an application submitted via the dedicated form and to the Reseller providing the necessary information (company details, SIRET, business activity). 2M Numérique reserves the right to accept or decline any application.

3. White label

On request, orders are shipped unbranded: no 2M Numérique logo or promotional material inside the parcels, a neutral delivery note, and the option of shipping directly to the Reseller's end customer. The Reseller remains solely responsible for the relationship with its customer.

4. Pricing and quotes

The Reseller benefits from a professional pricing schedule, provided when the account is opened. Every project is covered by a quote. Prices are exclusive of tax and may change depending on material costs and the nature of the orders. The Reseller is free to set its own resale prices.

5. Orders and proof approval (BAT)

Every order is confirmed once the quote and a proof approval (BAT) have been accepted. The Reseller is responsible for the content and compliance of the files submitted (text, visuals, rights). 2M Numérique may offer technical support (file checks, advice).

6. Turnaround times

Turnaround times given with the quote are estimates and run from approval of the proof and, where applicable, payment of the deposit. 2M Numérique does everything possible to meet them; a delay does not give rise to any compensation, except under a specific written commitment.

7. Delivery

Delivery is made to the address provided by the Reseller (either its own or that of its end customer). Risk transfers upon handover of the products. The Reseller checks parcels on receipt and reports any issue within the legal time limits.

8. Payment

Payment terms (deposit, installments, any credit line) are specified on the quote or when the account is opened. Failing any specific agreement, invoices are payable on receipt.

9. Intellectual property and files

The Reseller warrants that it holds the rights to the materials it submits and indemnifies 2M Numérique against any third-party claim. 2M Numérique claims no rights over the Reseller's creations and does not use work carried out under white label as a reference without consent.

10. Liability

2M Numérique is bound by a best-efforts obligation regarding print quality. Its liability is limited to the amount of the order concerned and does not cover indirect damages. The Reseller is responsible for the commercial relationship, commitments and after-sales service towards its end customer.

11. Personal data

The Reseller's data is processed in accordance with our privacy policy.

12. Term and termination

The reseller account is entered into with no fixed term. Either party may end it at any time, with orders already placed remaining payable. 2M Numérique may suspend an account in the event of a breach (non-payment, unlawful files…).

13. Governing law

These terms are governed by French law. Failing an amicable resolution, any dispute falls within the jurisdiction of the courts competent for the registered office of GOLDEN PRINT.
